These Terms and Conditions govern the relationship between BizStep Ltd. (Registration No. 0105562025638, hereinafter "BizStep", "we", "us" or "our") and our clients (hereinafter "you" or "the Company") for the provision of accounting, tax, payroll and related services in Thailand. By entering into a service agreement with BizStep, you agree to be bound by the terms set out below.
Our work will depend on the selected package or service agreement and will be based solely on the information and supporting documents provided by you, the circumstances made known to us and any assumptions that may be set out in our reports. We will rely on you to bring to our attention any changes in information that may impact on our services.
Our services and reports will be based on laws and practices in existence at the time our work is performed. Changes in laws and practices may take place after our services or reports are supplied. We accept no responsibility for such changes.
Some of the issues on which we may be asked to intervene may have implications for other individuals or parties. We are not responsible for raising such matters unless specifically instructed to do so.
We will use our best endeavour to carry out our services in accordance with our agreed time schedule. Such time schedule is indicative for planning and estimating purposes only and is not contractually binding.
Your Company's management is responsible for ensuring that the Company's operations are conducted in accordance with applicable laws and regulations. The responsibility for the prevention and detection of non-compliance shall remain with the Company's management.
The Company is furthermore responsible for compliance with all relevant tax laws and submission of all relevant tax returns. The Company shall undertake the payment of any fine or penalty arising from the non-delivery of invoices, tax invoices, receipts or information to BizStep Ltd. and/or from the non-payment of taxes and other contributions by the relevant submission deadlines.
Our service fees are agreed upon in the signed service agreement and cover up to 500 transactions per fiscal year for bookkeeping and tax filing services and up to 10 employees per month for payroll services. To track the number of transactions, we make the Journal Report — an accounting report listing all recorded transactions — available to you at any time. This report serves as mutually agreed proof of the transaction count.
Our fees exclude VAT (currently 7%) as well as government fees, taxes, Social Security contributions and any other fees specific to your Company.
We may revise our fees at any time. For existing clients, an advance notice will be sent no later than 60 days prior to the effective date, and any increase shall only become effective upon your written acceptance.
All service fees are payable by bank transfer to BizStep Ltd.'s designated company bank account, details of which will be provided in each invoice. Payment is due within the timeframe specified on the invoice.
For taxes, Social Security contributions and government fees, you may transfer directly from your company bank account to our dedicated tax disbursement account, or pay directly to the relevant Thai authorities. Details and deadlines will be communicated to you each month.
All fees are non-refundable except as expressly provided in Clause 8. Tax invoices and receipts are issued upon receipt of payment.
You are responsible for providing complete and accurate billing and contact information to us and for notifying us of any changes to such information.
Our fees do not include taxes, Social Security contributions, Workmen's Compensation Fund contributions, government registration fees, stamp duties or any other fees specific to your Company. Such costs are separately invoiced to you on a monthly or annual basis at cost, with no markup.
Our fees do not include any penalties or fines arising from the late submission of taxes, Social Security contributions or other obligations specific to your Company.
Intellectual property rights in documentation, systems, materials, methodologies and processes brought to the assignment or created in the course of the assignment shall remain vested in BizStep Ltd.
BizStep retains the right to cease performing services and to terminate the client relationship for any reason consistent with applicable laws or ethical rules, including unanticipated conflicts of interest, continuous non-payment of taxes and other contributions, or non-payment of our fees on due dates. Such termination shall be effective upon written notification sent by registered mail or email.
You may terminate the service agreement by providing written advance notice no later than 60 days prior to the intended effective date of termination. Such notice may be sent by registered mail or email.
We may modify these Terms and Conditions when we deem necessary. Modifications shall become effective once the updated Terms and Conditions are published on our website. By continuing to use our services after such publication, you are deemed to have accepted the modified Terms and Conditions. We recommend reviewing these Terms and Conditions on a regular basis.
These Terms and Conditions shall be governed and construed in accordance with the laws of Thailand.
Your personal data will be used to support your experience throughout this website, to manage our service relationship and to process your requests, in accordance with our Privacy Policy.
These Terms and Conditions form an integral part of the service agreement signed between BizStep Ltd. and the client. By signing the service agreement, you confirm that you have read, understood and accepted all of the Terms and Conditions set out herein.
